- "Deliverables" refers to the final audio files, compositions, or other materials provided as part of our services
- "Project" refers to the specific work commissioned by the Client
Acceptance of Terms
By accessing our website, submitting a project request, or engaging our services, you acknowledge that:
- You have read, understood, and agree to be bound by these Terms
- You are at least 18 years of age or have parental/guardian consent
- You have the legal authority to enter into this agreement
- All information you provide is accurate and complete
- You will comply with all applicable laws and regulations
Services Provided
Scope of Services
NextWave Sales provides professional audio production services, including:
- Original Music Composition
- Arrangement & Orchestration
- Sound Design
- Mixing & Mastering
- Audio Post-Production
- Sync & Score for Film/TV
- Commercial Music Production
Service Limitations
We reserve the right to:
- Refuse service to anyone for any reason at any time
- Modify or discontinue services without prior notice
- Limit the scope of services based on project requirements and feasibility
- Decline projects that conflict with our values or capabilities
Project Process
Initial Consultation
All projects begin with an initial consultation to discuss:
- Project scope, objectives, and creative vision
- Timeline and delivery expectations
- Budget and pricing structure
- Technical requirements and specifications
- Revision policy and approval process
Project Agreement
Once terms are agreed upon:
- A written project agreement or contract will be provided
- Payment terms and schedule will be established
- Project timeline and milestones will be confirmed
- Both parties must sign or acknowledge the agreement before work begins
Work Process
During the project:
- We will provide regular updates on project progress
- Client feedback and approvals are required at designated milestones
- Two rounds of revisions are included in the base price
- Additional revisions may incur extra charges
- Final deliverables will be provided upon project completion and full payment
Payment Terms
Pricing
All prices are quoted in US Dollars (USD) and are subject to:
- Project scope, complexity, and timeline
- Additional services or rush fees if applicable
- Third-party licensing or service costs
- Applicable taxes and fees
Payment Schedule
Standard payment terms:
- Deposit: 50% upfront payment required before work begins
- Final Payment: Remaining 50% due upon project completion
- Large Projects: May be divided into milestone-based payments
- Rush Projects: May require full payment upfront
Payment Methods
We accept the following payment methods:
- Credit/Debit Cards (Visa, Mastercard, American Express)
- PayPal
- Bank Transfer/Wire Transfer
- Other methods as agreed upon in writing
Late Payments
Late or missed payments may result in:
- Project suspension until payment is received
- Late fees of 5% per month on overdue balances
- Withholding of final deliverables
- Legal action to recover outstanding amounts
Intellectual Property Rights
Ownership Transfer
Upon full payment:
- All rights to the final deliverables are transferred to the Client
- Client receives 100% ownership of the master recording
- Client may use the deliverables for any purpose without restriction
- We retain the right to use the work in our portfolio unless otherwise agreed
Pre-Payment Rights
Until full payment is received:
- We retain all intellectual property rights to the work
- Client may not use, distribute, or modify the deliverables
- Work-in-progress files remain our property
Third-Party Content
If third-party samples, loops, or licensed content are used:
- Client is responsible for obtaining necessary licenses
- We will provide documentation of any third-party content used
- Additional licensing fees are the Client's responsibility
Revisions and Changes
Included Revisions
All projects include:
- Two (2) rounds of revisions at no additional cost
- Revisions must be requested within 14 days of receiving deliverables
- Revisions should be reasonable and within the original project scope
Additional Revisions
Beyond the included revisions:
- Additional revisions are billed at our hourly rate
- Major scope changes may require a new project agreement
- Rush revision requests may incur expedited fees
Timelines and Delays
Delivery Timelines
We strive to meet all agreed-upon deadlines. However:
- Timelines are estimates and may vary based on project complexity
- Client delays in providing feedback or materials may extend timelines
- We will communicate any anticipated delays promptly
Force Majeure
We are not liable for delays caused by:
- Natural disasters, pandemics, or acts of God
- Government actions, war, or civil unrest
- Technical failures beyond our control
- Other unforeseen circumstances
Confidentiality
We respect your privacy and confidentiality:
- All project information and materials are kept confidential
- We will not share your work with third parties without permission
- Non-Disclosure Agreements (NDAs) are available upon request
- Client information is protected in accordance with our Privacy Policy
Warranties and Liability
Our Warranties
We warrant that:
- Services will be performed with professional skill and care
- Deliverables will be original work or properly licensed
- We have the right to provide the services offered
- Work will meet industry-standard quality expectations
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the amount paid for the specific project
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for how you use the deliverables
- Client assumes all risk for commercial use of deliverables
Client Responsibilities
You are responsible for:
- Providing accurate project information and requirements
- Timely feedback and approvals
- Obtaining necessary licenses for third-party content
- Ensuring deliverables comply with your intended use
Cancellation and Refunds
Cancellation and refund terms are governed by our separate Refund Policy. Key points include:
- Cancellations before work begins may receive a full refund
- Partial refunds may be available for early-stage cancellations
- No refunds once final deliverables are provided
- Client is responsible for work completed up to cancellation point

Dispute Resolution
Informal Resolution
In the event of a dispute:
- We encourage direct communication to resolve issues

- We will work in good faith to reach a mutually acceptable solution
Governing Law
These Terms are governed by:
- The laws of the State of Mississippi, United States
- Federal laws of the United States where applicable
- Disputes will be resolved in the courts of Laurel, Mississippi
Changes to Terms
We reserve the right to modify these Terms at any time:
- Changes will be posted on our website with an updated "Last Updated" date
- Material changes will be communicated to active clients
- Continued use of our services constitutes acceptance of updated Terms
- Existing projects will be governed by the Terms in effect at project start
Miscellaneous
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and NextWave Sales regarding our services.
Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment
You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
